SPECIFIC TERMS AND CONDITIONS FOR QR PAYMENTS
The following are the specific terms and conditions governing the service integrated into the website known as “QR Payments” (the “Specific Terms and Conditions” and the “Service”), through which Manteca Users may make payments to third parties by scanning interoperable QR Codes, whether through the PIX System or through traditional payment methods.
“QR” shall mean a Quick Response Code, which is a module used to store information in a data matrix or two-dimensional barcode that complies with the interoperability rules established by the applicable regulations.
These Specific Terms and Conditions form an integral part of the General Terms and Conditions and Privacy Policy, which are mandatory and legally binding. The User declares that they have read and accepted them prior to using the Service. Any User who does not wish to accept these Specific Terms and Conditions must refrain from using the Service.
1. FUNCTIONALITY
The Service allows Users to make payments by scanning QR Codes in the jurisdictions enabled as indicated on the website, 24 hours a day, 7 days a week, 365 days a year (each payment, a “Payment Processing Request”). QR Codes may be either static or dynamic. The amount of the Payment Processing Request may be predetermined by the payee or entered by the User purchasing the product or service.
2. SERVICE
The User must select the option to pay using a QR Code and scan the code in order for the charge and debit to be made from their Account in accordance with the procedure established in the Application. For each Payment Processing Request, the website will automatically suggest a currency among those available in the User’s Account that is sufficient to cover the required amount. The User may modify this selection and choose another currency with an available balance sufficient to cover the amount of the Payment Processing Request.
If the currency selected by the User differs from the legal tender currency specified in the Payment Processing Request, the applicable exchange rate will be displayed to the User before confirming the transaction, and the corresponding conversion (swap) will be carried out when the transaction is executed. The User may view all currencies with available balances in their Account that may be used to settle a Payment Processing Request. In all cases, the User may select only one currency (i.e., a single balance) to make the payment.
If the User does not have sufficient funds to cover a Payment Processing Request, the transaction will not be executed, and the User will be informed of the reason why the transaction could not be completed. The provider shall bear no liability whatsoever and shall be released from any claim and/or damage arising from insufficient funds in the User’s Account for a Payment Processing Request.
If sufficient funds are available, the corresponding amount will be deducted from the User’s Account balance in the selected currency, including, where applicable, any conversion required to execute the Payment Processing Request. The Payee will receive the amount in the legal tender currency specified in the Payment Processing Request.
In the event of a reversal of funds related to a Payment Processing Request, the User will receive the corresponding refund in their Account according to the following conditions, depending on the origin of the QR Code and the nationality or jurisdiction of the paying User:
If the payment was made using a QR Code generated in the Argentine Republic by a User domiciled in the Argentine Republic, the refund will be made in Argentine Pesos (ARS).
If the payment was made using a QR Code generated in the Argentine Republic by a User not domiciled in the Argentine Republic, the refund will be made in the stable digital currency (USDT).
If the payment was made using a QR Code generated outside the Argentine Republic (including, but not limited to, Brazil), the refund will be made in the stable digital currency (USDT), regardless of the User’s jurisdiction.
The amount refunded will be equivalent to the value effectively transferred to the Payee in the applicable legal tender currency and may be subject to variations due to the exchange rate in effect at the time of the reversal, applicable fees, or market conditions.
The process described herein may be modified without prior notice.
3. LIMITS
The Service will be available for transactions subject to minimum and maximum amounts, in accordance with the limits set forth in the General Terms and Conditions of the Service. Approval of each Payment Processing Request is subject to verification of operational limits established by operators, payment institutions involved, regulatory authorities, as well as the availability and sufficiency of the User’s funds. In all cases, the provider shall have no liability if a Payment Processing Request cannot be executed due to any of the circumstances described in this section.
The User acknowledges that, on an exceptional basis, inconsistencies may arise in the processing of Payment Processing Requests due to settlement timing, and therefore delays in the crediting of funds to the Account may occur. Such delays shall not be attributable to the provider.
4. FEES
Use of the Service may be subject to fees. If applicable, such fees will be disclosed on the website.
Where a fee applies, the User accepts, acknowledges, and irrevocably authorizes the provider to withhold or collect any tax, levy, charge, or other amount required to be withheld or collected in connection with the transaction carried out by the User or pursuant to any other provision established by applicable regulations, in the applicable percentages and subject to any applicable exemptions.
The User is solely responsible for all taxes applicable to the transactions they perform. Accordingly, neither the provider nor its affiliated companies, related entities, directors, managers, employees, agents, representatives, or attorneys-in-fact shall be liable for the User’s tax obligations before the competent authorities.
5. REPRESENTATIONS
The User represents and warrants that they will use the Services lawfully and that their activities are not related to:
(i) the manufacture or sale of firearms, ammunition, explosives, or related materials;
(ii) the sale of narcotics or controlled substances;
(iii) the promotion or commercialization of content related to pedophilia or pornography;
(iv) shell banks;
(v) money laundering, trafficking in weapons, persons, animals, or similar activities;
(vi) any activity or goods whose promotion or commercialization is contrary to legal or administrative provisions, morality, or public order;
(vii) content involving persons under 18 years of age in any way, or films or photographs of minors obtained illegally or without the consent of the persons depicted therein;
(viii) the promotion of violence and/or discrimination of any kind;
(ix) the promotion or commercialization of content, goods, or services that violate any applicable law, particularly those related to intellectual property rights protection or software piracy.
6. PERSONAL DATA
By accepting these Specific Terms and Conditions, the User understands and agrees that the information and personal data provided will be processed solely for the purpose of complying with the obligations established herein in connection with the use of the Service. Such information and personal data may be shared and/or disclosed to Third-Party Providers exclusively for the purpose of ensuring the proper provision, implementation, and execution of the Service.
The provider undertakes to ensure that such third parties comply with the applicable standards of data protection and confidentiality in accordance with current regulations.
7. LIABILITY
Users are solely and exclusively responsible for their use of the Service, the Payment Processing Request, and any deductions made, including any damages arising therefrom.
The User acknowledges and agrees that proper reading of a QR Code may depend on factors beyond the Provider’s control (such as lighting conditions, the operation of the mobile phone camera, battery level, internet connectivity, biometric data capture, among others). Therefore, under no circumstances shall the Provider be liable for incorrect reading or inability to read a QR Code, interruption or failure of a QR payment, or any other technical issue that may prevent the completion of a QR payment.
The Provider shall not be responsible for, nor verify, the causes, amount, or any other circumstance related to a Payment Processing Request, nor the existence, quality, quantity, operation, condition, integrity, or legitimacy of goods or services offered, acquired, or transferred by Users and paid for through the Service.
The Provider reserves the right to reject, cancel, or suspend a Payment Processing Request and/or temporarily or permanently block access to and use of an Account if there is suspicion or indication that the Service is being used for any activity prohibited by law.
The User understands and agrees that the provider bears no responsibility for transactions carried out by Users when such transactions are fraudulent, accidental, or result from the User’s negligence in safeguarding their public access credentials or private passwords. Accordingly, the User assumes, acknowledges, and accepts full responsibility for any losses or deductions from their Account arising through the use of their Username.
8. AMENDMENTS
The User must review these Terms and Conditions each time they access the Website, as they are mandatory and legally binding. Any amendment hereto shall be deemed tacitly accepted whenever the User accesses the Website, without the need for express confirmation, unless required by Manteca.
Likewise, because certain services and content offered through the Website may contain specific rules that regulate, supplement, and/or modify these Terms and Conditions, Users are advised to review such rules before using the Website.
